Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of payment cards arranged or facilitated by Blue Rock Management Pte. Ltd. (“Company”, “we”, “our”, or “us”) through its partners (“Partners”).
Please read these Terms carefully. By applying for, registering for, activating, or using the Bitunix Card or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms form part of and should be read together with the Bitunix User Agreement, Privacy Policy, Cookie Policy, and any other policies published on the Bitunix platform, each as amended from time to time.
The Card and related Services are made available through our Partners, which may include licensed financial institutions, payment processors, or other service providers supporting the Card program.
The Services may not be available in all jurisdictions. Bitunix and its Partners reserve the right to restrict, suspend, or terminate the availability or use of the Card in certain jurisdictions or for certain transactions in order to comply with legal, regulatory, compliance, or security requirements.
1. DEFINITIONS
Unless the context otherwise requires:
Available Balance – the fiat balance available in your Card Account to authorize Card Transactions.
Card – the branded payment card made available through the Services.
Card Account – the account associated with your Card.
Cardholder or “you” – the approved user of the Card.
Card Transaction – any payment, withdrawal, refund, reversal, or other transaction conducted using the Card.
Digital Assets – supported cryptocurrencies held in your platform account.
Mobile Payment Service – third-party mobile payment services such as Apple Pay, Google Pay, or similar services.
Negative Balance – any amount owed arising from chargebacks, reversals, fees, or adjustments exceeding your Available Balance.
Partners – financial institutions, payment service providers, or other third parties that support the operation of the Card program.
Transaction Amount – means the fiat currency amount of a Card Transaction, including any applicable fees and foreign exchange(FX) markups.
2. ELIGIBILITY AND ACCOUNT TERMS
2.1 Reservation of Rights
We reserve the right, at our sole discretion and at any time, to:
(a) modify, amend, update, or otherwise change these Terms; and/or
(b) impose fees, charges, or other conditions in connection with the use of the Services, subject to reasonable notice where required by applicable law.
All such modifications are referred to herein as “Changes”.
2.2 Notice of Changes
Changes may be published through electronic notices. Continued use of the Services after such changes constitutes acceptance.
2.3 Eligibility Requirements
To access or use the Services, a user must:
(a) be of legal age and have legal capacity to enter into a binding contract;
(b) reside in a jurisdiction eligible for Card issuance;
(c) comply with all applicable laws, including anti-money-laundering and know-your-customer (AML/KYC) requirements;
(d) provide all requested information and documentation for identity verification, compliance, or risk management purposes.
2.4 Accuracy of Registration Information
You agree to ensure that all registration and account information provided is true, accurate, complete, and kept current. Failure to do so may result in suspension, restriction, or termination of access to the Services.
2.5 Suspension or Termination Rights
Access to the Services may be modified, suspended, restricted, or terminated at any time, with or without notice (unless otherwise required by law), for reasons including compliance, risk management, or security.
3. NATURE OF THE CARD
3.1 Prepaid Nature
The Card is a prepaid payment instrument and does not constitute a credit or debit card linked to a deposit account. Digital Assets may be converted in real time to fund Card Transactions.
3.2 Status of Funds
Funds associated with the Card:
· are not bank deposits;
· are not insured by any deposit insurance scheme;
3.3 Limits
Transaction, funding, or withdrawal limits may be set or adjusted at any time.
4. CONVERSION AND SETTLEMENT SERVICES
4.1 Conversion Service
Digital assets in the account may be converted into fiat currency to fund Card Transactions.
4.2 Authorization for Settlement
For each Card Transaction, the following actions may occur as needed:
(a) Instant Conversion: Convert the necessary amount of Digital Assets at the prevailing market rate to cover the Transaction Amount and any applicable fees;
(b) Transaction Funding: Transfer the resulting fiat proceeds through the relevant payment network or service provider to complete the transaction;
(c) Offsetting: Deduct or offset any outstanding amounts, fees, or Negative Balances directly from available Digital Assets.
4.3 Execution and Holds
To ensure transaction integrity and accommodate potential market volatility, a temporary hold on a specific amount of Digital Assets may be applied at the time of transaction authorization. This hold will be released or adjusted once the final Transaction Amount is settled. No guarantee is made that a conversion will occur at a specific price during periods of extreme market volatility.
4.4 Exchange Rate and Service Fees
Where a conversion is executed:
- The exchange rate will be determined at the time of the transaction based on prevailing market conditions;
- Final settlement amounts may differ from any indicative rate provided at the time of the transaction due to processing delays or requirements of third-party networks.
4.5 No Custody of Fiat
Fiat funds are held by payment networks or service providers. No entity assumes custody of fiat funds on behalf of users.
5. USE OF THE CARD
5.1 Permitted Use
- The Card may be used to make purchases from merchants accepting Visa, subject to transaction monitoring and network rules.
5.2 Prohibited Use
- The Card must not be used, nor may any third party use it:
- for unlawful, fraudulent, or abusive activity;
- in connection with sanctioned persons, entities, or jurisdictions;
- for prohibited merchant categories or restricted business activities;
- in any manner that could impair the Card program, payment network, or related systems.
- The list of prohibited uses may be updated from time to time.
5.3 Transaction Decline
- Transactions may be declined, suspended, or reversed at any time for risk management, compliance, fraud prevention, technical, network, or security reasons.
5.4 Scheme Rules Supremacy
- All Card Transactions are subject to applicable Visa scheme rules, which may take precedence where required. All Card Transactions are subject to Visa scheme rules. Merchant disputes must be resolved directly with the merchant.
6. Mobile Payment Service
6.1 Enrolment
- The Card may be added to supported Mobile Payment Service, subject to eligibility, device compatibility, and verification.
6.2 Third-Party Terms
- Your use of any Mobile Payment Service is subject to the applicable terms and privacy policies of the relevant Mobile Payment Service provider.
- You acknowledge that such providers are independent third parties.
6.3 No Liability
- To the maximum extent permitted by applicable law, Bitunix shall not be responsible or liable for the availability, security, functionality, or performance of any Mobile Payment Service provider or related third-party services.
7. SECURITY, LOSS AND UNAUTHORISED USE
7.1 Your Responsibilities
- You are responsible for maintaining the security of your Card, Account, and all security credentials. You must:
- · keep your Card, PIN, passwords, and authentication credentials secure at all times;
- · not disclose or share any security details with any third party; and
- · regularly review your transaction history and account activity.
- You shall be fully responsible for any failure to comply with the foregoing obligations.
7.2 Notification Obligation
- You must notify us immediately, and in any event without undue delay, if:
- · your Card is lost, stolen, or misappropriated;
- · any security credential is compromised or suspected to be compromised; or
- · you become aware of any unauthorized or suspicious transaction.
- Failure to provide prompt notice may affect your liability.
7.3 Replacement Card
- We and/or the Issuer may, in our/their sole discretion, issue a replacement Card. A reasonable replacement or reissuance fee may apply as disclosed in the Fee Schedule.
8. CHARGEBACKS, REVERSALS AND NEGATIVE BALANCE
8.1 Merchant Disputes
- Before initiating a chargeback or reversal, you should first attempt to resolve any dispute directly with the merchant.
- If you wish to dispute a transaction, you must promptly notify the relevant service provider and provide all information and supporting documentation reasonably requested within the required timeframe.
- Failure to do so may result in the dispute being denied.
8.2 Scheme Rules
- All chargebacks and transaction disputes are subject to the applicable Visa scheme rules, network requirements, and the policies of the issuer.
- You acknowledge that:
- chargeback or reversal rights are not guaranteed; and
- certain transactions (including cash-like or quasi-cash transactions) may not be eligible for chargeback or reversal.
8.3 Negative Balance
- If a Negative Balance arises in your Card Account, it must be settled immediately.
- Any offset or settlement will be made only from available account funds or Digital Assets associated with your account.
- Access to the Card may be restricted until the Negative Balance has been fully cleared.
9. STATEMENTS AND ERROR REPORTING
9.1 Electronic Statements
- Your transaction history and account activity will be made available electronically through the platform app or other interfaces as may be designated from time to time.
9.2 Duty to Review
- You are responsible for reviewing your transaction history promptly. Any error, discrepancy, or unauthorised transaction must be reported within 14 days of the transaction date or posting date, as applicable.
- Failure to report within this period may affect your ability to recover the relevant amount, subject to applicable law.
9.3 Investigation
- Reported errors or disputes may require supporting documentation, written statements, or other information reasonably requested for investigation purposes.
10. SUSPENSION AND TERMINATION
10.1 Suspension
- The Card may be immediately suspended, restricted, or blocked, in whole or in part, where reasonably required for:
- fraud prevention or security concerns;
- compliance with AML/CFT, sanctions, or financial crime obligations;
- actual or suspected breach of these Terms;
- regulatory or network requirements; or
- risk management purposes.
10.2 Termination by You
- You may terminate your Card at any time by contacting customer support and following the required closure procedures. Termination does not affect any rights or obligations accrued prior to the effective termination date.
10.3 Effect of Termination
- Upon suspension or termination:
- You must immediately cease all use of the Card;
- All outstanding fees, Negative Balances, and other obligations remain due and payable;
- Any remaining positive balance will be returned according to applicable law and internal procedures (which may include identity verification);
- Any remaining balance in the associated account may be retained for a reasonable period to cover potential chargebacks or contingent liabilities arising from Card use.
11. ANTI-MONEY LAUNDERING AND SANCTIONS
- You agree to provide all information, documentation, and assistance reasonably requested for AML/KYC, sanctions screening, fraud prevention, and regulatory compliance purposes.
- Transactions may be blocked, frozen, suspended, delayed, or refused where required to comply with applicable laws, sanctions programs, or lawful governmental requests. Access to the Card may be restricted if requested information is not provided.
12. RISK DISCLOSURE — DIGITAL ASSETS
- You acknowledge and agree that:
- Digital Asset prices are highly volatile and may fluctuate significantly;
- The timing of Digital Asset conversion into fiat currency may materially affect the value received; and
- Market movements, price volatility, execution timing, or slippage may affect Digital Asset conversions; no responsibility is assumed for such outcomes.
13. FORCE MAJEURE
The platform shall not be liable for any delay, interruption, or failure in performance resulting from events beyond reasonable control, including but not limited to:
- acts of God;
- network or system failures;
- telecommunications outages;
- cyber incidents;
- acts of government or regulatory authorities; or
- failures of third-party service providers.
13.1 Services Availability
- The Card and related services may not be available at all times. Merchant acceptance is outside the user’s control.
13.2 System Availability and Market Risks
- Market volatility, network congestion, or technical failures may result in delayed conversions, declined, or failed transactions. Indirect, incidental, or consequential losses, including loss of profits, may occur.
14. AMENDMENTS
- We may amend, modify, or update these Terms from time to time by providing notice via the website, Bitunix App, email, or other permitted communication channel.
- Unless otherwise required by applicable law, your continued access to or use of the Services following the effective date of any amendment shall constitute your acceptance of the revised Terms.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
15.2 If you are a consumer and have any complaints, we encourage you to first contact our support team at [email protected]
15.3 Meditation
- If the complaint is not resolved to your satisfaction, you may refer the matter to the Singapore International Mediation Centre (SIMC) for mediation in accordance with the SIMC Mediation Rules for the time being in force. The mediation shall take place in Singapore, and the language of the mediation shall be English.
15.4 Arbitration
- If the dispute is not settled by mediation within sixty (60) days, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.
15.5 Language
- The language of arbitration shall be English. Each party shall bear its own costs unless otherwise decided by the tribunal.
Appendix 1
FEES AND LIMITS
FEES:
Applicable fees may include:
- · Card Issuance Fee: Free for virtual cards; physical card fees quoted based on delivery location.
- · Monthly Fee: None
- · Foreign Currency Conversion Fee: 2%
- · Inactivity or other fees: (if introduced with notice). We reserve the right to classify the Card Account as inactive or dormant after a prolonged period of inactivity and to impose restrictions or fees where permitted by applicable law.
Fee Changes and notes
- · All fees are subject to change with prior notice where required by law.
- · Currency conversion is subject to the FX markup disclosed above.
LIMITS:
- Per Transaction: 10,000 USD
- Daily Spend: 10,000 USD
- Monthly Spend: 50,000 USD

RESTRICTED JURISDICTIONS
The Bitunix Card is not available to residents of certain jurisdictions due to legal and regulatory restrictions.

Appendix 3
PROHIBITED MCC LISTS
The Card must not be used for transactions involving prohibited merchant categories, including but not limited to:
- · illegal goods or services
- · sanctioned merchants
- · unlicensed gambling where restricted
- · adult services where prohibited by the Issuer
- · money transfer or cash recycling schemes
- · high-risk or fraudulent merchants
We and/or the Issuer may decline transactions in restricted merchant categories at our discretion.
