Bitunix User Agreement

Bitunix, a crypto asset trading platform, operates, together with its affiliates (hereinafter collectively referred to as "Bitunix", "Company", "we", "our" or "us"), the website https://www.bitunix.com (the "Site") and related mobile applications (collectively, the "Platforms", which, for the avoidance of doubt, include the Site), to provide users with digital asset-related products and services.

For the purpose of these Terms, "Affiliate" means any entity that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with Bitunix.

These User Terms of Use (the "Terms") govern your access to and use of the Platforms and all Bitunix Services.

These Terms, together with the Privacy Policy, Risk Disclosure, AML Policy (where applicable), Product Terms, Trading Rules,  and any other policies, guidelines, notices or documents published by Bitunix from time to time (collectively, the "Platform Documents"), form an integral part of these Terms and shall be read together. Certain products or services may be subject to additional product-specific terms, which shall apply in addition to these Terms.

By completing the registration process, clicking to accept these Terms where such option is provided, accessing or using the Platforms, opening or maintaining a Bitunix Account, or otherwise continuing to use any Bitunix Services, you acknowledge that you have read, understood and agreed to be bound by these Terms and all applicable Platform Documents.

1. Acceptance of Terms

1.1

You represent and warrant that you are at least eighteen (18) years of age, or such higher minimum age as may be required under the laws applicable to you, and possess the legal capacity and authority to enter into these Terms and conduct transactions involving Digital Assets.

You further represent that you are not prohibited from accessing or using the Bitunix Services under any applicable law, regulation, court order or governmental restriction.

If you do not satisfy the above requirements, you must not register for or use the Bitunix Services. Bitunix reserves the right to suspend, restrict or terminate your Account at any time if we reasonably determine that you do not satisfy the eligibility requirements.

1.2

You represent and warrant that your execution, delivery and performance of these Terms, and your access to and use of the Bitunix Services, do not violate any applicable laws or regulations of any jurisdiction in which you reside, are located, are a citizen or tax resident of, conduct business or are otherwise subject.

If you cease to satisfy the above requirements at any time, you must immediately cease using the Bitunix Services and notify Bitunix where required.

1.3

By completing the registration process or otherwise continuing to access or use the Bitunix Services from time to time, you acknowledge that you have read, understood and accepted these Terms, as amended from time to time.

These Terms include all Platform Documents published by Bitunix now or in the future. All such Platform Documents are hereby incorporated by reference into these Terms and shall have the same legal force and effect as if fully set out herein.

1.4

Bitunix may amend these Terms or any Platform Documents from time to time in accordance with applicable law.

Unless otherwise required by applicable law, such amendments shall become effective upon publication on the Platforms or on such later date as specified in the relevant notice.

Where required by applicable law or where Bitunix considers appropriate, we may notify you of material amendments through email, in-platform notifications or other reasonable means.

Your continued access to or use of any Bitunix Services after the effective date of any amendment constitutes your acceptance of the amended Terms and applicable Platform Documents. If you do not agree to the amended Terms, you must immediately discontinue your use of the Bitunix Services.

1.5

These Terms constitute a legally binding agreement between you and Bitunix.

These Terms govern your relationship with Bitunix only and do not govern any legal relationship between you and any other user of the Platforms unless expressly stated otherwise.



2. Scope of Services and Your Rights and Obligations

2.1

Bitunix provides users with digital asset-related products and services, including digital asset trading services and such other products, services, functionalities, features, campaigns, reward programmes and related services as Bitunix may make available from time to time.

Depending on the products and services offered by Bitunix from time to time, such services may include, without limitation, spot trading, margin trading, perpetual contracts, futures, card-related products, staking, earn products, rewards programmes and other Digital Asset-related products and services. Certain products may be subject to separate Product Terms, which shall form part of these Terms.

Unless expressly stated otherwise in the applicable Product Terms or where required by applicable law, Bitunix acts solely as the operator of a technology platform facilitating Digital Asset-related services and does not act as your investment adviser, financial adviser, portfolio manager, fiduciary or other similar adviser. Nothing in these Terms constitutes investment advice, investment recommendations, financial advice, legal advice, accounting advice or tax advice.

Where a particular regulated product is expressly stated to be provided under separate Product Terms, Bitunix's role in relation to that product shall be governed by the applicable Product Terms and applicable law.

Our services do not provide users with the ability to exchange one fiat currency for another fiat currency unless expressly stated otherwise.

2.1.1

Users have the right to browse market information, pricing information and other information made available through the Platforms and, where eligible, submit transaction instructions and conduct Digital Asset transactions through the Platforms.

2.1.2

Users have the right to access their Account information through the Platforms and use the functions made available by Bitunix from time to time.

2.1.3

Users have the right to participate in campaigns, promotions, reward programmes and other activities organised by Bitunix, subject to the applicable , Product Terms and other Platform Documents.

2.2

Depending on your jurisdiction, residence, nationality or other eligibility requirements, certain Bitunix Services may not be available to you.

It is solely your responsibility to ensure that your access to and use of the Bitunix Services complies with all laws and regulations applicable to you.

Bitunix reserves the right to restrict, suspend or terminate access to certain products, services or jurisdictions at any time where required by applicable law, regulatory requirements, sanctions obligations or internal compliance policies.

2.3

To access and use the Bitunix Services, you must create and maintain a Bitunix Account.

You agree to:

  • provide accurate, complete and current information when registering your Account;
  • promptly update your Account information whenever any information changes;
  • maintain the confidentiality and security of your login credentials, authentication devices and other security information;
  • notify Bitunix immediately if you become aware of or reasonably suspect any unauthorised access to your Account or any security incident affecting your Account; and
  • accept responsibility for all activities conducted through your Account, except where otherwise required by applicable law.

2.4

In order to provide the Bitunix Services, Bitunix may collect, use, process, store and otherwise handle your personal information and other information in accordance with the Privacy Policy.

By registering for, accessing or using the Bitunix Services, you acknowledge that your information will be processed in accordance with the Privacy Policy, which forms an integral part of these Terms.

2.5

You acknowledge that any transaction instruction submitted or confirmed by you through the Platforms constitutes your irrevocable authorisation for Bitunix to process such instruction in accordance with these Terms, the applicable Product Terms and the relevant Platform Documents.

Bitunix shall be entitled to rely upon such instructions unless otherwise required by applicable law.

2.6

You are solely responsible for reviewing, confirming and managing your transaction instructions, Account activities and transaction records.

Bitunix shall not be responsible for any loss arising from your failure to review, modify, cancel or otherwise manage your transaction instructions in a timely manner, except where such loss results directly from Bitunix's fraud, wilful misconduct or liability that cannot be excluded under applicable law.



3. Risk Disclosures and Acknowledgements

3.1 General Risk Acknowledgement

You acknowledge and agree that Digital Assets and Digital Asset-related products involve significant risks.

The value of Digital Assets may fluctuate substantially over short periods of time and may be affected by, among other things, market volatility, liquidity conditions, trading activity, technological developments, cybersecurity incidents, macroeconomic events, governmental actions, regulatory developments, market participants' behaviour and other factors beyond the control of Bitunix.

You acknowledge that you may lose part or all of your Digital Assets and that you should only participate in Digital Asset transactions within your own financial means and risk tolerance.

3.2 Risk Disclosure

The Risk Disclosure published by Bitunix forms an integral part of these Terms.

You acknowledge that you have carefully read, understood and accepted the Risk Disclosure before accessing or using any Bitunix Services.

You further acknowledge that the Risk Disclosure does not, and is not intended to, disclose every risk associated with the Bitunix Services or Digital Asset transactions. You remain solely responsible for assessing whether any Bitunix Service or Digital Asset transaction is appropriate for you in light of your financial circumstances, investment objectives and risk tolerance.

Where any Product Terms contain additional risk disclosures relating to a specific product or service, you agree that such disclosures shall also apply in conjunction with these Terms and the Risk Disclosure.


3.3 Abnormal Market Conditions

You acknowledge that unexpected events may occur, including but not limited to:

  • system failures;
  • software defects;
  • communication failures;
  • network interruptions;
  • distributed denial-of-service (DDoS) attacks;
  • hacking incidents;
  • blockchain network abnormalities;
  • market interruptions;
  • pricing anomalies;
  • abnormal execution events;
  • or other unexpected technical or operational events.

Where Bitunix reasonably determines that any such event has materially affected the normal operation of the Platforms or the integrity of the market, Bitunix reserves the right, where reasonably necessary and subject to applicable law, to take appropriate protective measures, including but not limited to:

  • cancelling affected transactions;
  • reversing abnormal transactions;
  • correcting obvious system errors;
  • rolling back affected transactions where technically and operationally necessary;
  • suspending or restricting trading;
  • temporarily suspending specific products or services; or
  • taking any other reasonable measures necessary to protect users, market integrity or the Platforms.

3.4 Market Integrity and Prohibited Conduct

Bitunix is committed to maintaining a fair, orderly, transparent and secure trading environment.

Users shall comply with these Terms, the Platform Documents and the Bitunix Market Conduct, Account Integrity and Enforcement Rulebook, as amended from time to time.

Bitunix prohibits any conduct that may compromise market integrity, platform security or the legitimate interests of other users, including but not limited to market manipulation, abusive trading practices, fraudulent activities, misuse of promotional programmes, technical abuse, account abuse or any other prohibited conduct specified in the applicable Platform Documents.

Where Bitunix reasonably believes that a user has engaged in any prohibited conduct, Bitunix may take such enforcement actions as are reasonably necessary under these Terms, the applicable Rulebook and applicable law.

3.5 Liquidation and Risk Control

Where a leveraged product is made available, you acknowledge that your positions may be subject to liquidation in accordance with the applicable Product Terms.

If your available margin, collateral or other required assets fail to satisfy the applicable maintenance requirements, Bitunix may, where permitted by the applicable Product Terms, liquidate, reduce or otherwise manage your positions without prior notice where reasonably necessary.

3.6 Position Limits and Platform Risk Controls

Where Bitunix reasonably determines that a user's positions, orders, trading activities or other conduct may expose the Platforms, other users or Bitunix to material operational, financial, legal or market risks, Bitunix reserves the right to implement appropriate risk control measures.

Such measures may include, without limitation:

  • limiting open positions;
  • limiting orders;
  • restricting opening transactions;
  • cancelling pending orders;
  • reducing positions;
  • restricting specific products or services;
  • requiring additional verification or information; or
  • taking such other reasonable risk management measures as Bitunix considers necessary to maintain the integrity, security and orderly operation of the Platforms.

Nothing in this Chapter limits any rights available to Bitunix under the applicable Product Terms, the Market Conduct Rulebook or applicable law.



4. Transaction & Fees

4.1

Bitunix provides transaction-related services in accordance with these Terms, the applicable Product Terms and other Platform Documents.

You agree to pay all applicable fees, commissions, spreads, funding fees, interest, margin requirements and other charges applicable to your use of the Bitunix Services.

The applicable fees, pricing methodology and charging standards may be published on the Platforms, the relevant Product Terms or other Platform Documents, and may be updated from time to time in accordance with these Terms.

4.2

Bitunix reserves the right to amend, introduce or remove any applicable fees, commissions, spreads, funding fees, interest rates, margin requirements or other charges from time to time.

Unless otherwise required by applicable law, such amendments shall become effective upon publication on the Platforms or on such later effective date as specified in the relevant notice.

Your continued use of the relevant Bitunix Services following the effective date of any amendment constitutes your acceptance of the revised fees and charges.

4.3 Pricing Discrepancies

From time to time, due to technical issues, software defects, market disruptions, connectivity failures, liquidity provider issues, pricing feed interruptions, blockchain network abnormalities, internal system issues or other circumstances affecting Bitunix or third-party service providers, prices displayed, quoted, executed or recorded on the Platforms may temporarily differ from prevailing market prices or otherwise fail to reflect normal market conditions (each, a "Pricing Discrepancy").

Where Bitunix reasonably determines that a Pricing Discrepancy has materially affected the execution of transactions or the integrity of the Platforms, Bitunix reserves the right to take reasonable corrective measures, including, where appropriate:

(a) correcting pricing errors;

(b) cancelling affected transactions;

(c) reversing or adjusting affected transactions;

(d) suspending trading of the relevant product; or

(e) taking such other reasonable measures as Bitunix considers necessary to protect users, the orderly operation of the Platforms and market integrity.

4.4 Margin and Leveraged Products

Where Bitunix offers leveraged products, perpetual contracts, futures or other products requiring collateral or margin, such products shall be governed by the applicable Product Terms.

You acknowledge that such products may involve:

  • initial margin requirements;
  • maintenance margin requirements;
  • automatic liquidation;
  • funding fees;
  • mark price mechanisms;
  • position limits;
  • leverage restrictions; and
  • other product-specific risk control mechanisms.

The applicable Product Terms shall prevail with respect to the operation of the relevant product.



5. Modification, Suspension and Termination of Service

5.1

These Terms shall remain effective unless terminated in accordance with these Terms.

Bitunix may suspend, restrict, terminate or otherwise limit your access to all or part of the Bitunix Services where:

(a) you breach these Terms or any applicable Platform Documents;

(b) Bitunix reasonably suspects that your activities involve fraud, market abuse, money laundering, terrorist financing, sanctions evasion or other unlawful or prohibited conduct;

(c) Bitunix reasonably determines that your activities expose the Platforms, other users or Bitunix to material legal, regulatory, financial, operational or security risks;

(d) Bitunix is required to do so by applicable law, regulatory requirements, governmental authorities or competent courts; or

(e) Bitunix otherwise reasonably considers such action necessary to protect the security, integrity or lawful operation of the Platforms.

Termination of these Terms shall not affect any accrued rights, obligations or liabilities arising prior to termination.

5.2

If you become aware that your Account, password, authentication credentials or other security information has been compromised, or that any third party has obtained unauthorised access to your Account, you must immediately notify Bitunix.

You acknowledge that you remain responsible for activities conducted through your Account until Bitunix has had a reasonable opportunity to process your notification, except where otherwise required by applicable law.

5.3

Bitunix may modify, suspend or discontinue any Bitunix Service, product, functionality or Digital Asset supported on the Platforms from time to time.

Where reasonably practicable, Bitunix will provide advance notice where required by applicable law or where Bitunix considers such notice appropriate.

5.4

Bitunix may temporarily suspend the operation of all or part of the Platforms for scheduled maintenance, emergency maintenance, system upgrades, security enhancements, technical repairs or other operational reasons.

Bitunix shall not be liable for any losses arising solely from such suspension except where liability cannot be excluded under applicable law.

5.5

Without prejudice to any other rights available under these Terms or applicable law, Bitunix may take one or more of the following measures where reasonably necessary:

suspend or restrict your Account;

  • restrict deposits or withdrawals;
  • restrict trading;
  • freeze Digital Assets where permitted by applicable law;
  • request additional information or documentation;
  • reject transactions;
  • cancel pending transactions;
  • reverse transactions where permitted under these Terms;
  • remove or disable access to particular products or services; or
  • permanently terminate your Account.

Such measures may be taken where Bitunix reasonably believes that circumstances exist including, but not limited to:

(1) inaccurate, incomplete or misleading information provided by you;

(2) suspected unlawful activity or prohibited conduct;

(3) suspected money laundering, terrorist financing, sanctions violations or fraud;

(4) breach of these Terms or applicable Platform Documents;

(5) failure to satisfy applicable compliance requirements;

(6) unauthorised access, security incidents or governmental investigations affecting your Account; or

(7) any other circumstance where Bitunix reasonably considers such measures necessary to protect the Platforms, users or comply with applicable law.

5.6

Any suspension, restriction or termination of your Account shall not release you from any obligations or liabilities arising prior to such suspension, restriction or termination.

Bitunix may retain relevant information where required by applicable law, regulatory requirements or legitimate business purposes.

5.7

Where permitted by applicable law, Bitunix may close inactive Accounts that have not been used for a continuous period specified on the Platforms, provided that any applicable notice requirements have been satisfied.



6. Rules of Use

6.1

When accessing or using the Bitunix Services, you shall comply with these Terms, the Privacy Policy, the Risk Disclosure, the applicable Product Terms and the Bitunix Market Conduct, Account Integrity and Enforcement Rulebook, each as amended from time to time.

The Bitunix Market Conduct, Account Integrity and Enforcement Rulebook forms an integral part of these Terms and sets out, among other things, standards relating to market conduct, account integrity, prohibited conduct, platform security, investigations and enforcement measures.

6.2

You shall access and use the Bitunix Services only for lawful purposes and in compliance with all applicable laws, regulations and regulatory requirements applicable to you.

You shall not use the Bitunix Services in any manner that is unlawful, fraudulent, deceptive, abusive or otherwise inconsistent with the orderly operation of the Platforms.

6.3

Without limiting any other rights available to Bitunix under these Terms, the applicable Product Terms or applicable law, Bitunix may take such reasonable measures as it considers necessary where it reasonably determines that:

(a) you have breached these Terms, the Privacy Policy, the Risk Disclosure, the applicable Product Terms or the Bitunix Market Conduct, Account Integrity and Enforcement Rulebook;

(b) your activities may compromise the integrity, security, availability or orderly operation of the Platforms;

(c) your activities may expose Bitunix, other users or third parties to legal, regulatory, operational, financial or security risks; or

(d) such action is otherwise required by applicable law or a competent governmental or regulatory authority.

6.4

Where circumstances described in Clause 6.3 arise, Bitunix may, to the extent reasonably necessary and subject to applicable law:

(a) reject, suspend, restrict or cancel transactions;

(b) restrict access to particular products or services;

(c) require additional information or documentation;

(d) suspend, restrict or terminate your Account;

(e) freeze or restrict Digital Assets where permitted by applicable law;

(f) reverse or cancel affected transactions where expressly permitted under these Terms or the applicable Product Terms; or

(g) take any other reasonable operational, technical or compliance measures necessary to protect the Platforms, Bitunix or other users.

6.5

Nothing in this Chapter limits any powers, rights or remedies available to Bitunix under these Terms, the applicable Product Terms, the Bitunix Market Conduct, Account Integrity and Enforcement Rulebook or applicable law.



7. Intellectual Property

7.1

Unless otherwise expressly stated by Bitunix, all intellectual property rights in and to the Platforms and the Bitunix Services, including but not limited to all software, source code, object code, interfaces, technology, databases, websites, applications, systems, designs, layouts, user interfaces, graphics, photographs, images, videos, audio, text, logos, trademarks, service marks, trade names, business names, domain names, documentation and other content made available through the Platforms (collectively, the "Bitunix Intellectual Property"), are owned by Bitunix, its Affiliates or its licensors and are protected by applicable intellectual property laws and other applicable laws.

7.2

Subject to your compliance with these Terms, Bitunix grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platforms solely for your own lawful use of the Bitunix Services.

Nothing contained in these Terms shall be construed as transferring or granting any ownership or proprietary interest in any Bitunix Intellectual Property to you.

7.3

Except with the prior written consent of Bitunix or as otherwise expressly permitted by applicable law, you shall not:

(a) copy, reproduce, modify, adapt, translate or create derivative works from any Bitunix Intellectual Property;

(b) distribute, publish, transmit, display, perform, licence, lease, rent, sell, assign or otherwise commercially exploit any Bitunix Intellectual Property;

(c) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of any software or system used by the Platforms;

(d) remove, alter or obscure any copyright, trademark or other proprietary notice contained in the Platforms or Bitunix Intellectual Property;

(e) use any Bitunix Intellectual Property in a manner that may mislead any person as to the source, sponsorship, affiliation or endorsement of any products or services; or

(f) otherwise infringe any intellectual property rights or other proprietary rights of Bitunix or any third party.

7.4

For the purposes of this Agreement, "User Content" means any comments, reviews, ratings, suggestions, feature requests, survey responses, testimonials, community posts, bug reports, or other similar content that you voluntarily submit through community features, feedback channels or customer engagement functions of the Bitunix Services.

For the avoidance of doubt, User Content does not include your Personal Data, Confidential Information, KYC materials, identity verification documents, transaction records, account information, customer support communications, legal submissions, regulatory submissions, law enforcement requests, or any information provided solely for compliance, operational or security purposes. Such information shall be processed in accordance with this Agreement, the Privacy Policy and applicable law, and shall not be treated as User Content for the purposes of this Section.

You represent and warrant that you own, or have all necessary rights to submit, any User Content.

To the extent permitted by applicable law, you grant Bitunix a worldwide, non-exclusive, royalty-free, revocable, transferable and sublicensable licence to use, reproduce, store, adapt, translate, display and distribute such User Content solely to operate, maintain, secure, moderate, improve and promote the Bitunix Services and their related community and customer engagement features.

Bitunix will not use User Content for purposes outside this Section without your consent, unless required or permitted by applicable law.

Nothing in this Section transfers ownership of your User Content to Bitunix.

7.5

If you believe that any content available on the Platforms infringes your intellectual property rights, you may notify Bitunix through the contact details published on the Platforms.

Upon receipt of a sufficiently substantiated notice, Bitunix may, where appropriate and in accordance with applicable law, investigate the matter and take such measures as it reasonably considers appropriate.



8. Privacy

Your privacy is important to Bitunix.

The collection, use, disclosure, storage, transfer and other processing of your personal information are governed by the Privacy Policy, which forms an integral part of these Terms.

By accessing or using the Bitunix Services, you acknowledge that you have read, understood and agreed to the Privacy Policy, as amended from time to time.

Where there is any inconsistency between this Chapter and the Privacy Policy in relation to the processing of personal information, the Privacy Policy shall prevail to the extent of such inconsistency.



9. Disclaimer

9.1

Unless expressly stated otherwise in these Terms or required by applicable law, Bitunix provides the Platforms and the Bitunix Services on an "as is", "as available" basis without any representation or warranty of any kind, whether express, implied or statutory.

To the fullest extent permitted by applicable law, Bitunix disclaims all warranties, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy or compatibility.

9.2

Digital Assets, including stablecoins and other blockchain-based assets, involve substantial risks and may experience significant price volatility.

You acknowledge that you may lose part or all of your Digital Assets and should carefully consider whether trading or holding Digital Assets is appropriate for you.

Where appropriate, you should obtain independent legal, tax, financial or other professional advice before using the Bitunix Services.

9.3

Nothing contained in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.



10. Indemnification

10.1

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Bitunix, its Affiliates, shareholders, directors, officers, employees, agents, contractors, service providers and licensors from and against any and all losses, liabilities, damages, claims, demands, actions, proceedings, judgments, penalties, fines, costs and expenses (including reasonable legal fees and expenses) arising out of or relating to:

(a) your breach of these Terms, the Privacy Policy, the Risk Disclosure, the applicable Product Terms or any other applicable Platform Documents;

(b) your violation of any applicable law or regulation;

(c) your infringement of the rights of Bitunix or any third party;

(d) your misuse of the Bitunix Services; or

(e) any content, information or materials submitted by you through the Platforms.

10.2

The indemnification obligations set out in this Chapter shall survive the suspension, restriction, termination or expiration of these Terms to the extent permitted by applicable law.



11. Notices

11.1

You agree that Bitunix may provide any notice, communication or other information relating to these Terms or the Bitunix Services by any reasonable means, including but not limited to:

(a) publication on the Platforms;

(b) email;

(c) SMS;

(d) in-Platform notifications;

(e) push notifications; or

(f) any other electronic communication method designated by Bitunix.

11.2

Unless otherwise specified by Bitunix or required by applicable law, any notice shall be deemed received:

(a) immediately upon publication on the Platforms;

(b) when transmitted electronically to your registered email address or other designated communication channel; or

(c) at such other time as may be specified in the relevant notice.

11.3

You are responsible for ensuring that your contact information remains accurate and up to date.

Bitunix shall not be responsible for any failure by you to receive a notice resulting from inaccurate, incomplete or outdated contact information provided by you.



12. Miscellaneous

12.1 Entire Agreement

These Terms, together with the Privacy Policy, the Risk Disclosure, the applicable Product Terms, the Bitunix Market Conduct, Account Integrity and Enforcement Rulebook and any other Platform Documents expressly incorporated into these Terms, constitute the entire agreement between you and Bitunix regarding your access to and use of the Bitunix Services and supersede all prior discussions, understandings or agreements relating to the same subject matter.

12.2 Severability

If any provision of these Terms is determined by a court or other competent authority to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

12.3 No Waiver

No failure or delay by Bitunix in exercising any right, power or remedy under these Terms shall constitute a waiver of that right, power or remedy.

Any waiver shall be effective only if made expressly in writing by Bitunix.

12.4 Assignment

You may not assign, transfer, delegate or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of Bitunix.

Bitunix may assign, transfer or otherwise deal with its rights and obligations under these Terms without your consent, to the extent permitted by applicable law.


12.5 Survival

Any provision of these Terms which, by its nature or express wording, is intended to survive termination shall continue in effect following the termination, suspension or expiration of these Terms, including without limitation provisions relating to limitation of liability, indemnification, intellectual property, dispute resolution, confidentiality and record retention.

12.6 Language

These Terms may be translated into multiple languages for convenience only.

In the event of any inconsistency between different language versions, the English version shall prevail unless otherwise required by the mandatory laws of the applicable jurisdiction.

12.7 Governing Law and Dispute Resolution

The governing law and dispute resolution mechanism applicable to these Terms shall be determined in accordance with the jurisdiction specified by Bitunix in the applicable Product Terms or other legal documentation published on the Platforms.

12.8 Amendments

Bitunix reserves the right to amend these Terms from time to time in accordance with Clause 1.

Any amendments shall become effective in accordance with these Terms and applicable law.
